Introduction

There are many current changes taking place in relation to company law. If you are involved in advising on private company acquisitions and want to ensure you have considered the current issues and potential new areas of exposure for your clients, then this interactive seminar is for you.

This course will explore the impact of current issues practically, highlighting areas you may wish to consider including in future deal documentation and actions for completion.

This virtual classroom session will not analyse cross border acquisitions, financial or tax implications, artificial intelligence or public/listed company issues.

What You Will Learn

This live and interactive course will cover the following:

  • Latest insight into industry trends
  • Economic Crime and Corporate Transparency Act 2023 (‘ECCTA’) implications for due diligence currently, including areas to consider adding to questionnaires (together with additional implications not yet in force and the proposed implementation timeline)
  • Consideration of warranty cover in relation to the additional risks posed by the ECCTA reforms
  • ECCTA completion and post completion considerations
  • Lessons learned from case law surrounding breach of warranty claims including Drax Smart Generation Holdco Ltd v Scottish Power Retail Holdings Ltd and Onecom Group Ltd v Palmer
  • Climate change drafting (The Chancery Lane Project)

Recording of live sessions: Soon after the Learn Live session has taken place you will be able to go back and access the recording - should you wish to revisit the material discussed.
